INDEPENDENT CONTRACTOR AGREEMENT
Affiliate for Habitat Schoolhouse
This Independent Contractor Agreement made effective as of January 15th, 2026.
BETWEEN:
The Habitat Schoolhouse Inc.
of

(the “HS” or “we”)
- AND -
(the “Affiliate”).
1. BACKGROUND:
HS desires to engage the Affiliate to provide promotional and marketing services for HS products and subscriptions.
The Affiliate represents that they have the necessary qualifications, platform, and audience to provide such services to HS.
The Affiliate agrees to provide such services to HS on the terms and conditions set out in this Agreement.
2. CONSIDERATION.
In consideration of the mutual covenants and promises described in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties (individually the “Party” and collectively the “Parties”) agree as follows:
3. RELATIONSHIP OF PARTIES. Beginning January 15th, 2026, HS and the Affiliate agree to the following relationship terms:es:
Independent Contractor Status. HS hereby engages the Affiliate as an Independent Contractor, and the Affiliate hereby accepts such engagement. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture between the Parties.
No Employee Benefits. The Affiliate is not, and will not be treated as, an employee of HS for federal or state/provincial tax purposes, workers’ compensation, unemployment insurance, or any other purpose. The Affiliate shall not be entitled to participate in any employee benefit plans, including but not limited to health insurance, vacation pay, sick pay, or retirement plans offered by HS to its employees.
Tax Responsibility. The Affiliate acknowledges that they are solely responsible for filing all necessary tax returns and paying all applicable federal, state/provincial, and local taxes, including income tax and self-employment tax, arising from the payments received under this Agreement.
4. SERVICES.
4.1 Affiliate Obligations. Beginning January 15th, 2026, HS hereby agrees to engage the Affiliate to provide HS with services (the “Services”) consisting of:
Promotion and Sales: The Affiliate agrees to promote HS products and subscriptions using their unique affiliate discount code.
Sales of Products will result in a 10% commission rate.
Sales of Subscriptions will result in the commission rate outlined in Section 7.
Minimum Posting Requirements: During active campaign windows (sales or launches), the Affiliate agrees to post and share news of the event on their social media channels. The Affiliate is required to post a minimum of three (3) times during an active campaign window. This may include a combination of static feed posts, video content (Reels/TikTok), or Stories with active links.
Campaign Specifics: HS will provide specific requirements for each campaign in writing prior to the campaign start date. The Affiliate agrees to adhere to any specific guidelines provided for the week leading up to and the week of a launch.
Invoicing: Following the conclusion of a campaign or sale period, the Affiliate will provide HS with an invoice totaling their earned commissions.
4.2 HS Obligations. Beginning January 15th, 2026, HS agrees to provide the following resources and services:
Account and Access: HS will provide the Affiliate with an account on the membership website and a unique affiliate discount code for tracking sales and commissions.
Commission Payment: HS agrees to remit commission payments within 14 business days of receiving a valid invoice from the Affiliate.
Customer Support: HS will host all sales on its virtual storefront and assumes full responsibility for customer service, order fulfillment, and inquiries regarding sales.
Resources: HS will provide the Affiliate with digital resources (images, copy, graphics) for the sole purpose of outreach and promotion.
Personal Use License: The Affiliate is granted a license to download and use provided Habitat Schoolhouse content within their own home for personal use and content creation during the term of this Agreement.
5. TERMINATION. This Agreement may be terminated by either party upon 30 days written notice to the other party. In addition, HS reserves the right to terminate this contract at any time for the failure of the Affiliate to perform their obligations under this agreement.
Voluntary Termination: This Agreement may be terminated by either party at any time upon 30 days written notice to the other party.
Termination for Cause: HS reserves the right to terminate this contract immediately if the Affiliate fails to perform their obligations under this Agreement. Specifically, failure to meet the Minimum Posting Requirements (outlined in section 4.1 (b)) or failure to participate during launch windows may result in immediate termination of Affiliate status and revocation of access to free resources and the affiliate dashboard.
6. PRODUCT COMPENSATION.
Commission Rate. HS agrees to pay the Affiliate a commission of 10% on the Net Sales Price of every completed product sale generated through the Affiliate’s unique discount code.

Tracking. HS is unable to monitor or track sales that are not purchased through an Affiliate’s unique discount code.. Therefore, the Affiliate acknowledges that sales made without the use of their unique discount code will not be tracked and will not be compensated.
Invoicing and Payment. As outlined in Section 4, the Affiliate is responsible for providing HS with an invoice totaling their commissions post-sale. HS agrees to remit commission payments within 14 business days of receiving a valid invoice.
7. SUBSCRIPTION COMPENSATION.
7.1 Commission Structure. For subscription-based sales generated through the Affiliate’s unique discount code, HS agrees to pay the Affiliate a fixed commission rate as follows:
$2.00 CAD per month on every Little Kids subscription.
$4.00 CAD per month on every Kids subscription.
$25.00 CAD per month on every Premium Family+ subscription.
7.2 Duration of Recurring Commissions. The monthly commissions outlined above are applicable for a maximum duration of one (1) year from the start date of the subscription, OR until the referred customer cancels their subscription, whichever occurs first.
7.3 Taxes. The Affiliate acknowledges that they are responsible for any and all personal taxes, fees, and government remittances required by law when filing their tax return regarding income earned from HS.
8. HABITAT SCHOOLHOUSE INTELLECTUAL PROPERTY. The Affiliate acknowledges that the Intellectual Property (the “IP”) owned by HS includes all copyrights, trademarks, trade secrets, patents, curricula, and other related materials belonging to HS. HS grants the Affiliate a non-exclusive, revocable license to use the HS IP provided to the Affiliate for the sole purpose of promoting HS. The Affiliate agrees not to modify HS IP in any way (including altering curriculum PDFs) and is only permitted to use HS IP while an Affiliate in good standing with HS. The Affiliate will be responsible for any damages resulting from the unauthorized use or distribution of HS Intellectual Property.
9. AFFILIATE INTELLECTUAL PROPERTY (USAGE RIGHTS). The Affiliate hereby grants HS a non-exclusive, royalty-free, perpetual license to use specific content created by the Affiliate under this Agreement. HS is permitted to:
Repost, distribute, and publicly display any images, videos, or captions created by the Affiliate that include HS resources or mention HS.
Include graphics, images, videos, or captions created by the Affiliate in HS marketing compilations, newsletters, social media ads, or sales pages.
Use the Affiliate’s name, handle, image, or logo in connection with the uses authorized above.
10. REPRESENTATIONS AND WARRANTIES. For each resource, written work, image, video, or piece of Content the Affiliate submits to HS or posts regarding HS, the Affiliate represents and warrants that:
(a) it is the Affiliate’s original work;
(b) it does not infringe on the intellectual property rights of any third party;
(c) the content is accurate and truthful to the best of the Affiliate’s
knowledge.
11. CAPACITY. The Affiliate is an Independent Contractor and nothing contained in this Agreement shall be deemed or interpreted to constitute the Affiliate as a partner, agent, or employee of HS. The Affiliate and HS acknowledge that this Agreement does not create a partnership or joint venture between them and is exclusively a contract for service.
12. NON-COMPETITION. The Affiliate may engage in other business activities (including being an affiliate for other brands) provided that the Affiliate does not directly or indirectly divert or attempt to divert business away from HS to a direct competitor using HS platforms or resources.
13. NON-SOLICITATION. The Affiliate understands and agrees that any attempt to induce other employees or contractors to leave HS would be harmful to HS. During the term of this Agreement and for a period of one (1) year after the termination of this Agreement, the Affiliate will not directly or indirectly:
Induce or attempt to induce any employee, contractor, or other service provider of HS to quit their employment or retainer with HS.
Interfere with or disrupt HS’s relationship with its employees, contractors, or customers.
Solicit, entice, or hire away any employees or contractors of HS.
14. MODIFICATION OF AGREEMENT. This Agreement supersedes all prior agreements, oral or written, between the Parties and is intended as a complete and exclusive statement of the agreement between the Parties. No change or modification of this Agreement shall be valid unless it is in writing and signed by each Party.
15. TITLES / HEADINGS. Headings are inserted for the convenience of the Parties and are not to be considered when interpreting this Agreement.
17. GOVERNING LAW. It is the intention of the Parties that this Agreement and all performance under it be construed in accordance with and governed by the laws of the Province of British Columbia, Canada, without regard to the jurisdiction in which any action or special proceeding may be instituted.
18. SEVERABILITY. In the event that any of the provisions of this Agreement are held invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
